Terms of Service

These Terms of Service ("Terms") are a legal agreement between you (or the business you represent) and Boroto Ltd ("Maintivo", "we", "us"), a company registered in England & Wales (company number 15171190), registered office 10 Church Square, Leighton Buzzard, England, LU7 1AE. By creating an account or using the Maintivo app or website (the "Service") you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

Maintivo is a mobile inspection and reporting tool for trade and field-service businesses. We may add, change or remove features from time to time to improve the Service.

2. Accounts & eligibility

You must be at least 18 and able to enter a contract. You are responsible for keeping your login details secure and for all activity under your account. Notify us promptly of any unauthorised use.

3. Free trial

We offer a 3-day free trial. Subscriptions and trials are purchased through Apple's App Store using your Apple ID, so a valid payment method on your Apple ID is required to begin. Nothing is charged during the trial. Unless you cancel at least 24 hours before it ends, the trial converts to a paid monthly subscription which renews automatically until cancelled. You can cancel at any time in your iPhone's Settings. At the end of the trial the Service (or paid features) may stop working unless you take out a paid plan. We may change or withdraw trial terms at any time.

4. Subscriptions, add-ons & payment

Paid plans and optional add-ons (such as invoicing) are billed on a recurring basis via the applicable app store or payment provider. Prices, billing periods and what's included are shown at the point of purchase. Where you purchase through the Apple App Store, Apple's terms and billing apply and cancellations/refunds are handled through your App Store account. You can cancel at any time; access continues until the end of the current billing period. Except where required by law, payments are non-refundable.

5. Your content

You retain all rights to the reports, photos, client data and other content you create or upload ("Your Content"). You grant us a limited licence to host, process and transmit Your Content solely to provide the Service (for example, storing records and emailing reports to recipients you choose). You are responsible for Your Content and for having the right to collect and use any third-party personal data it contains. Our handling of personal data is described in our Privacy Policy.

6. Acceptable use

You agree not to misuse the Service. In particular, you must not: break the law or infringe others' rights; upload malicious code; attempt to gain unauthorised access, disrupt or reverse-engineer the Service; resell or misrepresent the Service; or use it to send unlawful or unsolicited communications.

7. Availability

We aim to keep the Service available and reliable but do not guarantee it will be uninterrupted or error-free. We may suspend the Service for maintenance, security or legal reasons. Offline capture is designed to sync when a connection is restored.

8. Intellectual property

The Service, including its software, design, branding and content (excluding Your Content), is owned by Boroto Ltd or its licensors and is protected by law. We grant you a limited, non-exclusive, non-transferable licence to use the Service in accordance with these Terms.

9. Disclaimers

The Service is provided "as is" and "as available". To the extent permitted by law, we exclude all implied warranties. Maintivo is a tool to help you record and produce documents; you remain responsible for the accuracy, completeness and regulatory compliance of the inspections and records you produce. Maintivo produces and stores records; it does not certify work and is not a certification body.

10. Limitation of liability

Nothing in these Terms limits liability that cannot be limited by law. Subject to that, we are not liable for indirect or consequential loss, loss of profits, data or goodwill, and our total liability arising out of or in connection with the Service is limited to the amount you paid us in the 12 months before the claim.

11. Termination

You may stop using the Service and cancel at any time. We may suspend or terminate your access if you breach these Terms or where necessary to protect the Service or comply with law. On termination, your right to use the Service ends; provisions that by their nature should survive will continue.

12. Changes to these Terms

We may update these Terms from time to time. If we make material changes we will take reasonable steps to notify you. Continued use of the Service after changes take effect means you accept the updated Terms.

13. Governing law

These Terms are governed by the laws of England & Wales, and the courts of England & Wales have exclusive jurisdiction, except where mandatory local law provides otherwise.
